    Terms and Conditions

    1. Scope of Application

    These Terms and Conditions govern the legal relationship between Weblio (hereinafter "Provider") and customers, unless otherwise agreed in writing. By placing an order, making a booking, or using our services, the customer accepts these Terms and Conditions. For online orders, acceptance is confirmed during the ordering process.

    2. Services

    The Provider offers digital services, particularly in the areas of web design, web hosting, email hosting, website maintenance, consulting, as well as software tools and subscriptions. The exact scope and current prices are based on the respective quote, order confirmation, or the offers published on www.weblio.eu.

    3. Contract Formation

    A contract is formed through written confirmation by email, acceptance of a quote, or completion of an order on www.weblio.eu.

    4. Right of Withdrawal and Digital Services

    For digital services (hosting, email, website maintenance, software subscriptions, domains), service begins immediately upon receipt of payment. By placing an order, the customer expressly agrees that service begins immediately and acknowledges that this extinguishes the right of withdrawal. For custom project work (web design, consulting), the right of withdrawal expires once the Provider has begun execution and the customer has agreed to this. A separate right-of-withdrawal notice with a model withdrawal form for consumers is available at www.weblio.eu/en/right-of-withdrawal.

    5. Prices and Payment Terms

    Displayed prices are shown in the currency relevant to you (EUR). The default currency is automatically determined based on your visit's IP address: customers from Switzerland see Swiss Francs (CHF), customers from the EU and other regions see Euro (EUR). Final billing is carried out in the currency indicated during the ordering process. The Provider is not subject to VAT. For orders up to EUR 2,000, advance payment applies. Delivery occurs after full payment receipt. For orders from EUR 2,000: 50% deposit upon order placement, 50% before publication or completion. Ongoing services (hosting, email, website maintenance, software subscriptions) can be booked via www.weblio.eu. Provision occurs after payment receipt. Ongoing services are invoiced monthly or annually in advance. Certain services may be subject to a minimum contract period. This is clearly indicated before contract conclusion and confirmed by the customer during the ordering process. During the minimum contract period, ordinary termination is excluded; after its expiry, the subscription transitions to a regularly terminable subscription. Accepted payment methods are determined by the options offered in the ordering process.

    6. Customer Cooperation

    The customer is obligated to provide content, information, and access data required for service delivery in a timely manner. Delays attributable to the customer extend the delivery period accordingly and do not entitle to reduction or withdrawal.

    6a. Acceptable Use of Hosting and Email

    The provider's hosting and email services are intended for standard websites, online shops, business email, and comparable commercial or private standard use cases. Tariffs with unlimited data volume are offered under the condition that usage remains within the scope of typical use. The following are expressly not permitted: • Streaming services (audio, video, live streaming) as well as file-sharing, peer-to-peer, mirror, or backup services with high sustained data traffic • Mass email sending (spam, unsolicited promotional mailings, newsletters without verifiable double opt-in) • Sending or hosting illegal, copyright-infringing, harmful-to-minors, glorifying violence, racist, or otherwise unlawful content • Phishing, malware, crypto mining, botnet, or proxy/VPN activities • Any activity that impairs the stability, security, or availability of the server infrastructure or other customers The provider is entitled to monitor data traffic and resource usage per account in order to detect violations. If a violation is suspected, the provider may temporarily restrict or deactivate the account without prior warning. In the event of a proven violation, the provider reserves the right to terminate the contract without notice and without refund, to claim damages, and, where applicable, to report the matter to the competent authorities.

    7. Delivery and Acceptance

    Delivery times for projects are agreed upon in the quote. Since no physical products are delivered, there is no shipping risk. The project is considered accepted when the customer expressly approves it or does not report defects in writing within 7 days of the completion notification.

    8. Support and Maintenance

    Depending on the service, a support phase for minor adjustments and bug fixes may be included after project completion. The exact duration is specified in the quote or selected package. Additional support is quoted separately. For website maintenance packages, the scope of services (e.g., included change hours, response times, monitoring) is determined by the selected package as described on www.weblio.eu. Response times are typically 8 hours for the Pro package, 24 hours for the Plus package and 48 hours for the Basic package, in each case Monday to Friday during business hours. These are target values and not contractually guaranteed deadlines. Additional services outside the selected package are billed at the rates published on www.weblio.eu/services/maintenance. The Provider communicates with the customer via email, ticket, or WhatsApp.

    8a. Website Analysis Tool

    The Provider offers a free website analysis tool on www.weblio.eu, which performs a technical evaluation of a website specified by the user. Use of the tool requires that the user is authorised to have the analysed website reviewed and that no third-party rights are infringed thereby. The Provider is entitled to send the user individual offers and recommendations based on the analysis performed. Such offers relate exclusively to the website submitted in the analysis tool. Mere use of the tool or receipt of an offer does not create any contractual obligation for the user. Details on the processing of personal data when using the tool — including retention periods, legal bases and data subject rights — are set out in the Privacy Policy.

    9. Termination

    Ongoing services (hosting, email, website maintenance, software subscriptions) may be cancelled at the end of the respective billing period, provided no minimum contract period has been agreed. If a minimum contract period has been agreed, ordinary termination is only possible after its expiry. The minimum contract period is clearly indicated before contract conclusion. Cancellation is made through the customer dashboard on www.weblio.eu and takes effect at the end of the current billing period. For annual subscriptions, cancellation takes effect at the end of the respective annual term. One-time orders such as web design or consulting cannot be unilaterally cancelled after order confirmation. Payments already made will not be refunded. After the billing period expires, the account will be deactivated. Email data will be irrevocably deleted upon deactivation – the customer will be explicitly informed about data backup via email upon cancellation. Website data will be permanently deleted after 7 days. Within these 7 days, a paid reactivation is possible for a one-time fee of EUR 39.

    10. Non-Payment for Ongoing Services

    If payment for ongoing services is not made on time, the service will be deactivated after an unsuccessful payment reminder. Email data will be irrevocably deleted upon deactivation. Website data will be permanently deleted after 30 days. Reactivation is only possible after full settlement of outstanding amounts and a one-time reactivation fee of EUR 39.

    11. Availability and Maintenance

    The Provider targets an availability of 99.5% per calendar year, measured excluding planned maintenance windows (Sunday 02:00-06:00) and excluding outages of upstream providers (hosting provider, DNS, internet backbone). No contractually guaranteed availability exists. Server infrastructure is operated in ISO-certified data centres of IONOS SE (Germany) as well as other ISO-certified providers in Switzerland and the EU. Planned maintenance is performed within the defined maintenance window or outside usual business hours wherever possible. Short interruptions for maintenance work, as well as impairments due to force majeure or third-party disturbances (in particular upstream providers), do not give rise to any claim for compensation.

    12. Warranty

    The Provider warrants that the services rendered conform to the contractually agreed description. Obvious defects must be reported in writing without delay, and at the latest within 7 days of the completion notification. In case of justified defect notices, the Provider shall carry out rectification within a reasonable period. If rectification fails twice, the customer may request a reasonable reduction or, in case of material defects, rescission of the affected part of the service. Further statutory warranty claims under Art. 197 et seq. CO remain reserved, except to the extent otherwise agreed in these Terms.

    13. Liability

    The Provider is liable without limitation for damages arising from intentional or grossly negligent conduct of the Provider or its auxiliaries. In case of slight negligence, liability is, to the extent permitted by law (Art. 100 CO), limited to the contract-typical, foreseeable damage. Per damage event, liability is further capped to twelve monthly fees of the service concerned, with a minimum of CHF 300 and a maximum of CHF 2,000. This limitation does NOT apply in case of intent, gross negligence, breach of essential contractual obligations (cardinal duties), personal injury, or any case of mandatory statutory liability. No liability is assumed, to the extent permitted by law, for indirect damages, consequential damages, lost profits, data loss or the services of third parties (in particular hosting infrastructure providers, payment service providers, email relay services). The customer is obligated to regularly make his or her own backups of content. The Provider is not liable for data losses caused by the customer's failure to create own backups. Liability for personal injury remains unlimited.

    14. Force Majeure

    Neither party shall be liable for non-performance or defective performance of contractual obligations insofar as this is due to events of force majeure. Events of force majeure include, in particular: natural events, war, terrorism, official orders, large-scale failures of internet infrastructure, cyber attacks of significant extent, and pandemics. The affected party shall inform the other party without delay of the impediment and its expected duration. If the impediment lasts longer than 60 days, both parties are entitled to extraordinary termination.

    15. Data Protection

    The processing of personal data is governed by the applicable Privacy Policy at www.weblio.eu/privacy-policy, which forms an integral part of these Terms. Insofar as the Provider acts as a processor within the meaning of Art. 28 GDPR in the course of providing services (in particular when hosting customer websites or operating customer mailboxes), the parties shall conclude a separate data processing agreement (DPA). The customer may request this at any time from info@weblio.eu.

    16. Copyright and Usage Rights

    For web design orders, the contractually agreed usage rights to the created website transfer to the customer upon full payment. Pre-existing rights to standard components, templates and reusable modules remain with the Provider. For software subscriptions and tools, the customer receives a non-exclusive, non-transferable usage right for the duration of the subscription. The Provider reserves the right to use publicly available parts of the project in a neutral form as a reference (project name, screenshots, category). The customer may object to this at any time in writing.

    17. Changes to Terms

    The Provider reserves the right to adapt these Terms, in particular in the event of changes to the scope of services, legal framework or case law. The current version is always available at www.weblio.eu/terms. For material changes, customers with ongoing contracts will be notified by email at least 30 days before the changes take effect. If the customer does not object within this period, the amended Terms are deemed accepted. In case of objection, the customer is entitled to extraordinary termination effective on the date the changes take effect.

    18. Severability Clause

    Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected. An invalid provision shall be replaced by a valid provision that comes as close as possible to the economic purpose of the invalid one. The same applies to gaps in the provisions.

    19. Applicable Law and Jurisdiction

    Swiss substantive law shall apply exclusively, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG) and to the exclusion of the conflict-of-laws rules of international private law. The exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms is Basel, Switzerland. Mandatory statutory places of jurisdiction for consumers remain reserved. Where the customer is a consumer and resident in another country, mandatory consumer protection provisions of his or her country of residence remain unaffected.
